    We are seeking a skilled and experienced Law Clerk to join the Corporate Business team in a hybrid model.  The successful candidate will be responsible for assisting with a variety of corporate and commercial tasks, which include incorporation of companies and preparation of by-laws, resolutions, and registers, share purchases, rollovers, and corporate reorganization. The successful candidate must possess the ability to complete these types of transactions from beginning to end.   The candidate must have a minimum of 5 to 7 years of relevant experience with the ability to work independently, as well as collaboratively while exercising good judgement. Strong written and verbal communication, administrative and organization skills are essential.  If you believe this aligns with your skills and experience, we want to hear from you!

    Key Responsibilities:

    Prepare corporate legal documents (incorporations, amalgamations, acquisitions, reorganization, amendments).

    Conduct corporate searches.

    Conduct due diligence reviews and rectify any deficiencies.

    Prepare resolutions, notices, agreements, and other ancillary documents.

    Manage asset/share purchase and sale transactions and closings.

    Maintain and update minute books and corporate files.

    Support the team for corporate and commercial matters.

    Prepare reports to clients as requested.

    Performing general administrative support including opening files, dockets, preparation of accounts and client billings, processing payments, calendar maintenance and maintaining an active filing system.

    Input and maintain relevant information into LEAP, Fast Company, Teraview, OnCorp, and Unity.

    Liaise with clients, accountants, and other law firms.

    Other duties as assigned.

    Required Qualifications

    Post-Secondary Education (College Diploma/Certificate or University Degree).

    5 to 7 years experience in supporting corporate/business law role.

    Completion of the Institute of Law Clerks of Ontario Certification

    Membership in good standing with Institute of Law Clerks of Ontario

    Knowledge of federal and provincial corporate statutes and regulations.

    Proficient in Microsoft Office, Unity, LEAP, Teraview, OnCorp, Fast Company or similar document management software

    Excellent communication skills, both written and verbal.

    Strong work ethic and positive team approach.

    Highly organized and able to work in fast-paced environment.
